3. Client Responsibilities

• Project Information: The Client agrees to provide accurate and complete information necessary for the project. This includes, but is not limited to, content, images, and other resources required for the development process.
• Feedback: The Client agrees to provide timely feedback and approvals to ensure the project stays on schedule. Delays in feedback may lead to extensions of the project timeline.
• Compliance: The Client is responsible for ensuring that all materials provided to Codefyn comply with applicable laws and regulations, including intellectual property rights and data protection laws.

4. Payments and Fees

• Pricing: The pricing for services will be outlined in the service agreement or project proposal. All prices are quoted in Indian Rupees (INR).
• Payment Terms: Payments will be made according to the schedule outlined in the service agreement. A non-refundable deposit may be required to initiate the project.
• Late Payments: If payment is not received within the specified timeline, Codefyn reserves the right to suspend work on the project until payment is made. Late payments may incur additional fees.

5. Intellectual Property

• Ownership of Deliverables: Upon full payment, the Client will own the final deliverables, including website code, design files, and any other project assets. However, Codefyn retains the right to showcase the work in its portfolio or marketing materials.
• Third-Party Tools and Licenses: Any third-party tools, software, or licenses used in the development process will be subject to their own terms and conditions. The Client may be responsible for purchasing and maintaining these licenses.

6. Confidentiality

• Confidential Information: Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project. This obligation will continue even after the completion of the project.
• Data Protection: Codefyn will take reasonable steps to protect the personal data of the Client and any users of the website, in compliance with applicable data protection laws in India.

7. Warranties and Disclaimers

• No Warranty: Codefyn provides its services on an "as-is" basis and does not guarantee that the deliverables will be free from errors or that the operation of the website will be uninterrupted. Any warranties, whether express or implied, are disclaimed to the fullest extent permitted by law.
• Limitation of Liability: Codefyn shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of its services or any deliverables provided.

8. Termination

• Termination by Client: The Client may terminate the project at any time by providing written notice to Codefyn. In such cases, the Client will be responsible for payment of all work completed up to the date of termination.
• Termination by Codefyn: Codefyn reserves the right to terminate the project if the Client fails to comply with these Terms or the service agreement. In such cases, no refunds will be issued for any payments already made.

9. Governing Law and Jurisdiction

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the state of West Bengal, India, without regard to its conflict of law principles.
• Dispute Resolution: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

10. Amendments

Codefyn reserves the right to modify these Terms at any time. Any changes will be communicated to the Client and will take effect immediately upon posting on our website or notification to the Client.
